These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Stagerify ("we", "our", or "us") operating under the laws of New South Wales, Australia.
By creating an account, accessing, or using the Stagerify platform, website, or related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease use of the Service.
1. Eligibility and Account Registration
1.1 Eligibility
You must be at least 18 years of age, or the age of majority in your jurisdiction, to register for and use the Service. By registering, you represent and warrant that you meet these requirements.
1.2 Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials, and for all activities conducted under your account. Any unauthorised use of your account must be reported to us immediately.
1.3 Account Suspension/Termination
We reserve the right, in our sole discretion, to suspend or terminate your account if you breach these Terms, misuse the Service, or engage in conduct detrimental to our operations or reputation.
2. Free Trials, Subscriptions, and Payment Terms
2.1 Free Trials
We may, at our sole discretion, offer free trials. Free trials may be subject to conditions or limitations that will be disclosed at the time of sign-up.
2.2 Subscription Plans
Access to the Service beyond the free trial requires a valid paid subscription. Subscription tiers and pricing are described on our website and may be updated periodically.
2.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to renewal.
2.4 Payment
By subscribing, you authorise us and our third-party payment processors to charge your selected payment method.
2.5 Refunds
To the maximum extent permitted by Australian law, all subscription fees are non-refundable. Nothing in this clause excludes your rights under the Australian Consumer Law.
3. User Content and Intellectual Property
3.1 User Content
You retain all rights, title, and interest in any images or content you upload to the Service ("User Content").
3.2 Generated Content
You also own all rights, title, and interest in any AI-generated images created using the Service ("Generated Content").
3.3 Licence to Stagerify
By uploading User Content, you grant Stagerify a limited, non-exclusive, royalty-free licence to process such content solely for the purpose of providing the Service.
3.4 Ownership Acknowledgement
Stagerify makes no claim of ownership over your User Content or Generated Content.
4. Permitted and Prohibited Uses
4.1 Permitted Uses
You may use the Service to create AI-generated staged images for lawful purposes, including but not limited to real estate marketing, advertising, and other commercial uses.
4.2 Prohibited Uses
You may not use the Service to:
- Violate applicable laws or regulations;
- Upload or generate unlawful, harmful, defamatory, obscene, or misleading content;
- Infringe upon the intellectual property or other rights of third parties;
- Interfere with or attempt to disrupt the security, functionality, or performance of the Service;
- Resell, redistribute, or sublicense the Service or its outputs without express written consent.
5. Data Handling and Privacy
5.1 Data Storage
We do not permanently store your uploaded images or Generated Content beyond the processing required to deliver the Service.
5.2 Third-Party Services
We may use reputable third-party service providers (e.g., cloud hosting, payment processors) to operate the Service.
5.3 Privacy Policy
Our handling of personal information is governed by our Privacy Policy, which is incorporated into these Terms.
6. Service Availability and Disclaimers
6.1 Availability
While we strive to maintain continuous access to the Service, we do not guarantee uninterrupted availability, and the Service may be suspended for maintenance, upgrades, or unforeseen issues.
6.2 Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
6.3 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law which cannot lawfully be excluded.
7. Limitation of Liability
7.1 Exclusion of Damages
To the maximum extent permitted by law, Stagerify is not liable for indirect, incidental, special, consequential, or exemplary damages, including but not limited to lost profits, lost opportunities, or reputational harm.
7.2 Liability Cap
Our total liability arising out of or relating to the Service is limited to the subscription fees paid by you in the 12 months preceding the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless Stagerify, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your use of the Service;
- Your violation of these Terms; or
- Your infringement of third-party rights.
9. Termination of Use
9.1 By Us
We may suspend or terminate your access to the Service immediately if we determine you have violated these Terms, engaged in improper use, or exposed us to legal liability.
9.2 By You
You may cancel your subscription at any time via your account settings.
9.3 Effect of Termination
Upon termination, your access to the Service will cease, and you will not receive a refund for any unused portion of your subscription.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms are governed by the laws of New South Wales, Australia.
10.2 Jurisdiction
You agree that any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.
11. Amendments to These Terms
We may revise or update these Terms from time to time. Any material changes will be notified via the Service or email. Continued use of the Service following updates constitutes your acceptance of the revised Terms.
